Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the TalkValue platform, including our website at trytalkvalue.com, applications, and related services (the "Service"). The Service is operated by Sendtime Inc. ("TalkValue," "we," "us," or "our").

By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind it.

Account Registration

You agree to provide accurate information when creating an account, keep your credentials secure, and notify us of any unauthorized access. Your account may be associated with one or more Workspaces, each representing an organization using the Service. You are responsible for all activity within Workspaces you administer.

Our Applications

The Service includes the following applications:

• Badge — Event check-in and badge management. Create and print badges, manage attendee check-in via QR codes, run on-site staff operations, and track real-time event statistics.

• Path — People and registration analytics. Manage contacts and companies, track registration trends, analyze channel attribution, and understand audience overlap across events.

• Spark — Community content curation and Slack delivery. Collect relevant industry content from public sources, curate daily digests, deliver them to Slack channels, and track community engagement through voting and analytics.

We may modify, suspend, or discontinue any part of the Service at any time.

Subscription Plans and Billing

We offer a Free Plan with limited usage, and paid plans (Pro, Enterprise) with additional features. Paid subscriptions are billed in advance through Stripe. We may offer a 14-day free trial that converts to a paid subscription unless canceled.

The Service uses a credit-based system. Credits are included with paid plans and may also be purchased as one-time Credit Packs that do not expire. All fees are exclusive of applicable taxes.

We may change prices at any time. For existing subscriptions, changes take effect at the start of the next billing cycle.

Cancellation and Refunds

You may cancel your subscription at any time. Your access continues until the end of the current billing period. No prorated refunds are issued. Unused Credit Packs may be refunded within 30 days of purchase if no credits have been used. Contact support@trytalkvalue.com for refund requests.

Acceptable Use

You agree not to: violate laws or third-party rights; send spam or phishing; upload malware; attempt unauthorized access; interfere with the Service; harvest user data; impersonate others; use the Service for illegal purposes; or create a competing product using the Service.

Your Content and Data

You retain ownership of all content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to use your content solely to provide the Service. You are responsible for obtaining appropriate consent from event attendees before collecting their data and for complying with applicable privacy laws.

AI Features

Certain features of the Service use third-party AI service providers to process publicly available content. AI processing is limited to content collected from public sources such as RSS feeds and websites. No user data, private messages, or personally identifiable information is sent to AI providers. Your data is not used to train AI models. For a list of AI service providers, see our Sub-Processors page.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Sendtime Inc. and protected by intellectual property laws. If you provide feedback or suggestions, you grant us the right to use them without restriction.

Third-Party Services

The Service integrates with third-party services for payment processing, authentication, analytics, messaging, and AI processing. We are not responsible for their practices. See our Sub-Processors page for a full list.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to indemnify Sendtime Inc. from claims arising from your use of the Service, violation of these Terms, or your collection and use of event attendee data.

Termination

You may delete your account at any time through Settings. We may suspend or terminate your account for violations, non-payment, or extended inactivity. Upon termination, your data will be deleted within 14 business days.

Governing Law

These Terms are governed by the laws of Delaware, United States. Disputes will be resolved through binding arbitration (AAA). Each party may bring claims only in an individual capacity, not as part of a class action.

General Provisions

These Terms and our Privacy Policy constitute the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without consent.

Changes to These Terms

We may update these Terms and will notify you by posting the updated version, emailing you, or displaying a notice in the Service. Continued use after changes constitutes acceptance.
