1. Introduction
Welcome to TalkValue! These Terms of Service ("Terms") govern your access to and use of the TalkValue platform, including our website at trytalkvalue.com, applications, and related services (collectively, the "Service"). The Service is operated by Sendtime Inc. ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Eligibility
To use the Service, you must:
Be at least 18 years of age
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable laws
If you are using the Service on behalf of a company or organization, you represent that you have authority to bind such entity to these Terms.
3. Account Registration
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to:
Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your login credentials secure and confidential
Notify us immediately of any unauthorized use of your account
3.2 Workspace
Your account may be associated with one or more "Workspaces." Each Workspace represents an organization or team using the Service. You are responsible for all activity that occurs within Workspaces you create or administer.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.
4. Description of Service
TalkValue is an event management platform that provides tools for event organizers, including but not limited to:
Event Badge: Badge creation and printing for event attendees
Event Check-in: Attendee check-in and registration management
Event Analytics: Event performance tracking and analytics
Event Survey: Post-event surveys and feedback collection
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
5. Subscription Plans and Billing
5.1 Free Plan
We offer a free tier with limited usage for each application ("Free Plan"). Free Plan limits reset monthly and are subject to change.
5.2 Paid Subscriptions
We offer paid subscription plans ("Pro Plan," "Enterprise Plan") with additional features and higher usage limits. Subscription details, including pricing and features, are available on our pricing page.
5.3 Credit System
The Service uses a credit-based system for usage tracking. Credits may be obtained through:
Free allocation: Monthly free credits per application
Subscription plans: Monthly credit allowance included with paid plans
Credit Packs: One-time credit purchases that do not expire
5.4 Free Trial
We may offer a free trial period for paid subscription plans. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription, and you will be charged the applicable subscription fee.
Current trial period: 14 days
5.5 Billing
All paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed through our third-party payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.
5.6 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on our net income.
5.7 Price Changes
We reserve the right to change our prices at any time. For existing subscriptions, price changes will take effect at the start of the next billing cycle following notice of the change.
6. Cancellation and Refunds
6.1 Subscription Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
Your subscription will remain active until the end of the current billing period
You will retain access to paid features until the billing period ends
No prorated refunds will be issued for the unused portion of the billing period
Your account will revert to the Free Plan after the billing period ends
6.2 Credit Pack Refunds
Credit Packs are non-refundable once any credits from the pack have been used. If you have not used any credits from a Credit Pack, you may request a full refund within 30 days of purchase by contacting support@trytalkvalue.com.
6.3 Event-Related Considerations
Due to the nature of event management services:
Credits used for event-related activities (badge printing, check-ins, etc.) are non-refundable
We recommend testing the Service with free credits before making purchases
If you experience technical issues that prevent you from using purchased credits for a scheduled event, please contact us immediately for assistance
6.4 Refund Requests
To request a refund, contact us at support@trytalkvalue.com with your account information and reason for the request. Refund decisions are made at our sole discretion.
7. Acceptable Use
You agree not to use the Service to:
Violate any applicable laws, regulations, or third-party rights
Send spam, unsolicited communications, or engage in phishing
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Collect or harvest user data without consent
Impersonate any person or entity
Use the Service for any illegal or fraudulent purpose
Resell or redistribute the Service without our written consent
Use the Service to create a competing product or service
We reserve the right to suspend or terminate your account if you violate these acceptable use terms.
8. User Content and Data
8.1 Your Content
You retain ownership of all content, data, and information you submit to the Service ("User Content"), including event information, attendee data, and uploaded files.
8.2 License to User Content
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.
8.3 Event Attendee Data
You acknowledge that you are responsible for:
Obtaining appropriate consent from event attendees before collecting their data
Ensuring your use of attendee data complies with applicable privacy laws
Providing attendees with appropriate privacy notices
8.4 Data Retention
We retain User Content for as long as your account is active or as needed to provide the Service. You may request deletion of your data by contacting us at support@trytalkvalue.com.
8.5 Data Portability
You may export your data at any time through the Service's export features or by contacting us.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by Sendtime Inc. and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
9.2 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
10. Third-Party Services
The Service may integrate with or contain links to third-party services, including:
Payment processing (Stripe)
Authentication providers
Analytics services
Cloud infrastructure providers
We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR COMPLETENESS OF CONTENT
UNINTERRUPTED OR ERROR-FREE SERVICE
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDTIME INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE
DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT ON THE SERVICE
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Sendtime Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your User Content
Your collection and use of event attendee data
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
14.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include:
Violation of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended periods of inactivity
Request by law enforcement or government agencies
14.3 Effect of Termination
Upon termination:
Your right to use the Service will immediately cease
We may delete your User Content after a reasonable period
Any unused credits will be forfeited
Sections of these Terms that by their nature should survive termination will survive
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and the arbitrator's decision shall be final and binding.
15.3 Class Action Waiver
YOU AND SENDTIME INC. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
15.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sendtime Inc. regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by:
Posting the updated Terms on our website
Sending an email to the address associated with your account
Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
